Can a startup be valued using the same methods as an established company?

Not straightforwardly. Most conventional valuation methods lean on trading history — earnings, cash flow, a track record of profit. A start-up may have little or none of that, so valuers usually fall back on forward-looking or asset-based approaches, and the result carries far more uncertainty.

That uncertainty is the point rather than a flaw. Where the numbers depend heavily on assumptions about future performance, small changes in those assumptions move the answer a long way. Anyone relying on a start-up valuation should understand what it is built on.

Early-stage valuations are also often set by negotiation with an investor rather than by calculation. What someone will pay for a stake reflects their view of the risk, the team and the market as much as any formula.

This is general information. If you are raising investment, selling a stake or agreeing terms with a co-founder, take advice from a corporate finance adviser or your accountant. CW Asset Finance is a credit broker and does not advise on equity, valuation or company sales — though if the plan involves buying vehicles or equipment, we can help with funding that part.
